Terms & Conditions of 

Business Bespoke Fitted Furniture – 

Design, Manufacture & Installation (Residential & Commercial Projects)

Definitions 

  • “Company” means Biss Interiors London. 

  • “Client” means the individual, company, developer, or trade customer entering into this Contract. 

  • “Bespoke Furniture” means all made-to-measure furniture, cabinetry, fixtures, fittings, and associated works. 

  • “Designs” means all drawings, CAD files, visuals, plans, specifications, measurements, concepts, and samples produced by the Company. 

  • “Contract” means these Terms & Conditions together with the approved quotation, drawings, and specifications. 

2. Scope & Bespoke Nature of Works 

2.1 All works undertaken by the Company are bespoke and made-to-order. 

2.2 In accordance with The Consumer Contracts Regulations 2013, bespoke goods are exempt from cancellation rights once manufacture has commenced. 

2.3 Natural materials and finishes may vary in colour, grain, texture, or appearance. Such variations are not defects and do not constitute grounds for rejection or refund. 

3. Quotations & Pricing 

3.1 All quotations are valid for 30 days unless otherwise stated in writing. 

3.2 Quotations are based on the information provided at the time and may be revised if scope, access, or specifications change. 

3.3 All prices are inclusive of VAT. 

4. Payment Terms 

4.1 Accepted Payment Methods: 

  • Bank Transfer 

  • Online Payment Link 

4.2 Payment Structures 

Projects £5,000 – £10,000 

  • 40% to book installation and commence manufacture 

  • 40% at point of installation 

  • 20% within 30 days of installation completion 

Projects £10,000 – £50,000 

  • 40% to book installation and commence manufacture 

  • 40% at point of installation 

  • 20% at point of installation completion 

  • 20% within 30 days after installation completion 

Projects £50,000+ 

  • 10% to book installation and commence manufacture 

  • 40% at point of installation 

  • 40% at point of installation completion 

  • 10% within 30 days after installation completion 

4.3 The Client is responsible for paying the remaining balance within 30 days of installation completion. 

4.4 Any overdue amount may incur a late payment charge of 10% of the outstanding balance, in addition to statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998 (where applicable). 

4.5 Ownership of all goods remains with the Company until full payment has been received. 

5. Client Responsibilities 

5.1 The Client must ensure suitable access, site readiness, and safe working conditions. 

5.2 Dimensions & Measurements 

  • Clients must carefully review all dimensions shown in the Designs. 

  • If the Client does not feel confident that measurements are accurate, they must request a further site visit prior to approval. 

  • The Company shall not be liable for errors arising from dimensions approved by the Client. 

5.3 Design Review & Feedback 

  • The Client is responsible for reviewing Designs thoroughly and providing feedback for amendments before final approval. 

  • Approval confirms acceptance of layout, dimensions, materials, and specifications. 

5.4 Post-Approval Changes 

  • Any new requirements, changes, or additions requested after design approval will be chargeable and may affect lead times. 

6. Design Approval 

6.1 All Designs must be approved in writing prior to manufacture. 

6.2 By signing this Contract, the Client: 

  • Approves the final Design 

  • Confirms the agreed installation date 

  • Accepts the non-refundable manufacturing terms once production has commenced 

6.3 The Company is not responsible for errors in Designs once approved. 

7. Intellectual Property & Copyright 

7.1 Ownership All Designs remain the exclusive intellectual property of Biss Interiors London, protected under: 

  • Copyright, Designs and Patents Act 1988 (UK) 

  • Registered and Unregistered Design Rights 

  • Berne Convention No ownership or licence is transferred to the Client. 

7.2 Prohibited Acts The Client must not, without written consent: 

  • Copy, reproduce, distribute, or modify Designs 

  • Share Designs with third parties or alternative suppliers 

  • Replicate the Designs even if only similar to, inspired by, or using selected elements from the Company’s work Legal action may include injunctions, damages, recovery of profits, and legal costs. 

8. Installation 

8.1 Installation dates are estimates and subject to site readiness and force majeure events. 

8.2 Clients may cancel or rearrange their installation date; however: 

  • Installation may be postponed by 4–6 weeks in line with the Company’s lead time terms. 

8.3 The Company operates a 4–6 week lead time policy. If another project cancels, the Client may be offered an earlier date, but this is not guaranteed. 

9. Force Majeure 

The Company is not liable for delays caused by events beyond reasonable control, including supplier failure, strikes, extreme weather, illness, or government action. Lead times may be extended accordingly. 

10. Warranties & Liability 

10.1 The Company provides a 10 year workmanship warranty. 

10.2 This excludes wear and tear, misuse, environmental conditions, or unauthorised alterations. 

10.3 Liability is limited to the value of the Contract, except where prohibited by law. 

11. Trade Clients & Developers 

11.1 Trade clients, developers, landlords, and commercial clients acknowledge that: 

  • Consumer cancellation rights do not apply 

  • Designs may not be reused across multiple properties without written consent 

11.2 Site delays, phased works, or third-party coordination issues are not the Company’s liability. 

11.3 The Company reserves the right to suspend works for non-payment without penalty. 

12. Termination 

12.1 Clients may terminate this Contract and receive a full refund only if manufacture has not commenced. 

12.2 The Company may terminate immediately if: 

  • Payments are overdue 

  • Intellectual property is breached 

  • The Client interferes with, obstructs, or causes inconvenience to the works In such cases, the Company may terminate without refund. 

13. Data Protection & GDPR 

13.1 The Company complies with the UK GDPR and Data Protection Act 2018. 

13.2 Personal data is used solely for: 

  • Contract administration 

  • Communication 

  • Legal and accounting obligations 

13.3 Data will not be shared with third parties except where legally required. 

13.4 Clients have the right to access, rectify, or request deletion of their data. 

14. Governing Law 

This Contract is governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction. 

15. Entire Agreement 

This Contract constitutes the entire agreement. Amendments must be in writing and signed by both parties. 

16. Contract Structure & Presentation Acknowledgement 

The Client acknowledges and agrees that: 

  • A Short-Form Client Summary may be provided for convenience only and does not replace or override these full Terms & Conditions. 

  • The tone and presentation of this Contract may be adjusted for high-end residential projects for clarity and client experience, without altering its legal enforceability. 

  • This Contract may be presented with the Company’s logo, branded headers, page numbering, footers, and structured signature blocks, all of which form part of the binding agreement.

What You Should Know 

  • Every piece is custom-made specifically for you. 

  • Once designs are approved and manufacture begins, orders are non-refundable. 

  • All designs remain the intellectual property of Biss Interiors London. 

  • Payments are staged clearly and fairly based on project value. 

  • Installation dates are carefully scheduled and may move within our 4–6 week lead time. 

  • We comply fully with UK consumer law and GDPR.

3. TRADE-ONLY ALTERNATIVE CONTRACT 

(Developers, landlords, contractors) 

BISS INTERIORS LONDON – TRADE TERMS & CONDITIONS 

Key Differences (Legally Important) 

  • Consumer cancellation rights do not apply 

  • No refunds once manufacture begins 

  • Designs licensed per project only 

  • Suspension of works for non-payment without notice 

  • Time is not “of the essence” These Trade Terms apply to developers, landlords, contractors, and commercial entities acting in the course of business. The Consumer Rights Act 2015 and Consumer Contracts Regulations 2013 do not apply.

Design Confirmation 

By signing below, the Client confirms that they have: 

☐ Reviewed all drawings, visuals, and dimensions 

☐ Confirmed measurements are accurate 

☐ Provided all required feedback 

☐ Approved materials, finishes, and layout Manufacturing Authorisation 

The Client understands that: 

  • Manufacture will commence immediately upon approval 

  • All works are bespoke 

  • Payments become non-refundable once manufacture begins
